LEASE, MANAGEMENT, OPERATION AND MAINTENANCE OF MESAIEED BUSINESS AND RECREATION COMPLEX (MBRC), MESAIEED GOLF CLUB (MGC), MESAIEED SPORT COMPLEX (MSC) AND QP GUEST ACCOMMODATIONS FACILITIES AT MESAIEED-The Facility Manager shall Manage, Operate and Maintain of Mesaieed Business and Recreation Complex (MBRC), Mesaieed Golf Club (MGC), Mesaieed Sport Complex (MSC) and QP Guest Accommodations Facilities at Mesaieed. The Facility Manager shall operate the Facilities independently without direct QP supervision on a commercial basis i.e. QP shall not be involved with the revenue generated by the EO from operating the facilities. The Facility Manager's revenue comprises of but not limited to, membership subscription fees, venues hire charges, catering services etc. In addition to the fixed monthly Management Fee shall paid by QP to the Facility Manager. QP will provide the whole facilities free of charge i.e. without any rent. The facilities will be handed-over to the Facility Manager on 'as-is' basis. The Agreement Duration will be for a minimum (60) months, plus (6) months mobilization period to allow sufficient time to complete the handover of facility by QP to the Facility Manager. During this period, the Facility Manager shall undertake all necessary activities to set-up and operation of the Facilities including but not limited to mobilizing its resources, enroll members, procure and furnish the facilities with additional furniture, equipment etc. The Facility Manager at its own expenses shall carry out all soft and hard furnishings (curtains, sofas, counters, tables, chairs and cupboards) during mobilization period including provision of the required equipment and manpower. To cover such initial expenses, QP will support the Facility Manager by providing an advance payment of 15% of the total Agreement Price or QR 5 Million, whichever is lower, at the start of the Agreement against an Advance Payment Guarantee (APG) of equivalent value. This advance payment would be amortized in equal installments over Three (3) years duration against the monthly management fee.
