Payment Shall Be Made In Check Payable To The Provider. V. Period. This Tor Shall Be Effective For A Period Of Twelve (12) Calendar Months Beginning From The Actual Activation Of Access Accounts Designated And May Be Renewed For The Same Period Upon Mutual Agreement Of The Parties. Vi. Ownership Of Data And Intellectual Property Rights. All Relevant Data, Trademark, Content, Supporting Documents Of Plagiarism Detection Service And Materials Prepared In The Course Of Or In Relation To The Services Rendered By The Provider Under This Agreement Shall Be Its Intellectual Property. Vii. Other Conditions 1. All Deliveries/undertakings Shall Be Subjected To Inspection By The Pamantasan. Poor Quality Execution Of Work Shall Be Rejected/withdrawn At The Expense Of The Provider. 2. Time Is Of The Essence For The Completion Of The Delivery Described In This Contract. It Is Expected From The Provider, That All Late Deliveries Shall Constitute A Material Breach Of This Contract, And The Supplier Shall Be Liable For Damages. 3. In The Event That The Provider, Encounters Delay In The Deliveries, It Shall Promptly Notify The Pamantasan Stating The Reason For Such Delay, And May Request For An Appropriate Extension For Completion Of The Delivery; Provided That The Delay Is Caused By Circumstances Beyond The Provider’s Control Or Is Due To Force Majeure. The Granting Of Extension Shall Be Subject To Pertinent Government Rules And Regulations. 4. Delay Caused Other Than Force Majeure And/or Delay In The Delivery, Shall Be Tantamount To Default. The Provider Shall Then Be Required To Pay Pamantasan The Amount Equivalent To One Tenth Of One Percent (1/10 Of 1%) Of The Total Consideration For Each Day Of Delay Incurred In The Performance Of Its Obligation Until Such Time That The Services Are Completely Performed, And The Items Are Fully Delivered And Accepted. 5. The Provider Is Prohibited From Disclosing All Confidential Information And Data In Relation To The Identity Of Pamantasan Personnel And Officials That Are Generated By The System. As Used Herein, The Term “confidential Information” Shall Mean Any And All Pamantasan Personnel Information, Regardless Of Whether Kept In A Document, In An Electronic Storage Medium, Or In Cloud’s Storage. 6. The Provider Shall Pay In Full And On Time All Taxes Accruing From This Agreement And Failure To Do So Shall Entitle The Pamantasan To Suspend Payment For Any Goods And Services Delivered By The Former. The Provider Shall Present, Within The Duration Of The Contract, A Valid Tax Clearance Issued By The Bureau Of Internal Revenue (bir), Central Authority To Facilitate Payment Of Services. 7. Without Prejudice To The Immediately Preceding Paragraph, The Pamantasan May Terminate This Contract On Account Of Violation By The Provider, Of Any Of Its Provisions By Giving Appropriate Notice To The Provider. After Termination, The Pamantasan Shall No Longer Be Held Liable For The Payment Of Any Taxes. 8. The Pamantasan May Avail Itself Of Any Legal Remedies As May Be Necessary And Appropriate In The Event That The Provider Commits A Breach Of Contract. 9. The Provider Shall Hold The Pamantasan And Its Agents/officers Free From Any And All Liabilities, Suits, Actions, Demands Or Damages Arising From Or Caused By Its Personnel Incident To Or In Connection With The Services Under This Agreement. 10. The Provider Agrees To Indemnify, Protect And Defend, At Its Own Expense, The Pamantasan And Its Officers/agents From And Against All Actions, Claims And Liabilities Arising Out Of Acts Done By Its Personnel/representatives In The Performance Of The Services. 11. The Provider Hereby Warrants That It Has Not Given Nor Promised To Give Any Amount Of Money, Gift, Favors To Any Pamantasan Official Or Employees And Other Third Parties In Order To Secure This Agreement. Viii. General Provisions. 1. Modifications. No Modification Of The Tor Or Any Deviation In The Implementation Of The Same Shall Be Allowed Without The Written Agreement Between The Parties. Modification Of Any Part Of The Tor Shall Be Contained In An Amended Tor That Shall Supplant This Tor Upon Signing Its Conformity Thereto By Both Parties. 2. Notices. The Parties Shall Designate A Specific Person Or Office To Act As Representative For The Purpose Of Giving And Receiving Notices In Relation To This Tor. Receipt Of The Notice By The Designated Representative Shall Be Deemed As Equivalent To A Receipt Of The Represented Party For Purposes Of This Tor. 3. Venue And Choice Of Law. The Laws Of The Republic Of The Philippines Shall Govern The Validity Of This Tor, The Construction Of Its Terms And The Interpretation Of The Rights Of The Parties Hereto. 4. Un Enforceability Of Provisions. If Any Provision Of This Tor, Or Any Portion Thereof, Is Held To Be Invalid And Unenforceable, Then The Remainder Of The Tor Shall Nevertheless Remain In Full Force And Effect.
