They conduct the business in accordance with the law, the partnership agreement, rules of procedure for the management to be issued or approved by the supervisory board, the Public Corporate Governance Code of the State of Hesse and the resolutions of the shareholders' meeting and the supervisory board. For transactions related to the acquisition and sale of the company's investments, the management is bound by the resolutions of the investment committee. The management works in a spirit of trust with the shareholder of Hessenfonds Beteiligungen and the members of the bodies of Hessenfonds Beteiligungen. The list of duties of the management includes, among others: -preparation of the meetings of the supervisory board, the shareholders' meeting and the investment committee; -preparation of the relevant documents for the meetings of the supervisory board, the shareholders' meeting and the investment committee; -observance of and fulfillment of transparency and reporting obligations, including commercial register entries, state aid law, etc.; -setting up the company accounts and ensuring the proper use, administration and control of the company's financial resources (share capital contributions, payments into reserves, investment capital, proceeds, etc.); -setting up and implementing an appropriate and effective internal control system (ics), a risk management system and compliance. Fund management The fund management team must have the necessary skills to process direct and silent participations and be able to independently process applications from companies in accordance with the specifications in the participation principles and to successfully manage the participations. The processors should have relevant professional experience and knowledge. The internal organization/staff distribution of the fund must guarantee that the tasks to be performed are fulfilled on time, fully and carefully by the staff deployed. The fund is managed on the basis of the attached partnership agreement, the agency agreement and the participation principles and in compliance with the provisions applicable to the Hessen funds. The duties of the fund management team include, among other things, -the selection of suitable target companies including industry-standard due diligence in accordance with the participation principles in the currently valid version; -participation in information and presentations by the shareholder and its network partners in public relations work and support with enquiries; -processing participation applications; -preparing and concluding participation agreements (including tax and legal audits); -continuous monitoring of participations entered into and, if necessary, their settlement; -preparations for the admission, administration and accounting of fund deposits, refinancing and public funds in cooperation with the management; -auditing and carrying out the necessary transparency and reporting obligations, including those arising from state aid law; -terminating participations.
