Description I. Title Hiring Of Service Provider To Conduct Coaching/pitching Training For The Competition Participants Of The “1st Biotekalusugan Competition: Search For The Most Innovative Biotech Applications In The Field Of Biomedicine” Ii. Rationale/background Proclamation No. 1414 S. 2007 Declares The Last Week Of November Of Every Year As National Biotechnology Week (nbw). Nbw Celebration Promotes The Safe And Responsible Use Of Modern Biotechnology And Its Products As A Means To Achieve And Sustain Food Security, Equitable Access To Health Services, A Sustainable And Safe Environment, And Industry Development. The Heads Of Department Of Agriculture (da), Department Of Science And Technology (dost), Department Of Environment And Natural Resources (denr), Department Of Trade And Industry Dti), Department Of Interior And Local Government (dilg), Department Of Education (deped) And Commission On Higher Education (ched) Shall Comprise The Inter-agency Committee (iac) To Collaboratively Work On The Successful Preparation And Conduct Of The Nbw. Boi Is Representing The Dti As The Agency’s Representative In The Nbw Iac. When The Dti Hosted The Nbw Celebration In 2022, The Agency Made A Firm Commitment To Support The Development Of The Local Biotechnology Industry Through The Promotion Of Strategic Investments. This Year’s 20th Nbw, Ched Is Set To Lead The Celebration That Will Be Held In Up Los Banos (uplb) On 25-29 November 2024. As Part Of Boi's Participation In The 20th Nbw Celebration, Rbis Is Conducting The “search For The Most Innovative Biotech Applications In The Field Of Biomedicine” Or 1st Biotekalusugan Competition. The Competition Aims To Recognize And Showcase The Capability Of Filipino Innovation To Significantly Contribute In The Field Of Biotechnology. This Activity Will Provide A Strategic Platform To Promote Selected Local Innovations On Pharmaceutical Drugs, Vaccines, Functional Foods, Health Ict, Diagnostics, Treatments, Omic Technologies, And Biomedical Devices And Link Them To Potential Partners. The Need To Conduct The Competition Arise Due To The Following: • Rich Filipino Innovation Capacity; • Lack Of Information On Bankable Investment Projects Enabled By Biotechnology; • Presence Of Various Organizations Expressing Interest In Supporting The Linkage With Investors Of Innovators In The Field Of Biotech For Biomedicine; • Weak Capacity And Insufficient Information Of Local Innovators On What These Organizations Require Before An Investment Support Can Be Provided; And • Available Fiscal Incentives For Biotech-enabled Investment Activities Pursuant To The 2022 Strategic Investment Priority Plan (sipp) But Not A Single Taker Yet. One Of The Components Of The Competition Is Conduct Of Training/capacity Building To The Finalists. This Session/workshop Shall Provide Advanced Guidance To The Participants To Enable Them To Fine-tune Their Decks/pitch Presentations And Improve The Delivery. Mock Presentations With Cig And Hvl Shall Be Conducted. Iii. Intent Through The Contracted Training Provider, This Tor Aims To Ensure That Their Qualifications, Outline, Scope Of The Training Module Are Aligned With The Goal Of Enhancing Pitching Skills Of The Participants. Iv. Objectives For The Competition Participants To: 1. Learn The Essential Content And Style Needed For An Impactful Pitch; 2. Present Their Proposals In A Clear And Engaging Manner; 3. Effectively Communicate The Core Aspects Of The Pitch Including Industry Gap Solution, Target Market, Market Opportunity, Business Unique Value, Growth Strategy, Etc.; And 4. Craft A Pitch Designed To Capture And Sustain Investor Interest. V. Responsibilities Of The Boi 1. Hire And Closely Work With Training Provider And Provide Assistance To The Participants To Ensure The Orderly And Success Of Training/coaching Session; And, 2. Perform Other Functions As The Need Arises. Vi. Scope Of Work And Tasks Of The Training Provider The Training Provider Shall Perform The Following Tasks: 1. Provide List Of Technical Requirements/documents To Be Set Up Or To Be Prepared By The Participants For The Training; 2. Prepare Program Design Containing Outline, Methodology And Activities For The Conduct Of The Program; 3. Conduct The Training And Manage The Overall Program, Where Key Components Include: • Conduct Of Plenary Discussion With The Competition Participants; • Conduct Of One-on-one Consultation To Review And Refine The Participants’ Initial Materials For Pitching; And, 4. Submit Post-training Report. Vii. Expected Output The Training Provider Shall Submit: 1. Program Design That Includes An Outline, Methodology, Objectives, Timeline, And Detailed Activities Planned For The Program; 2. Checklist Of Technical Requirements And Documents That Participants Need To Prepare; 3. Post-training Report Submitted Within One Week After The Activity's Completion, Containing Among Others: • Documentation Of The Plenary Discussion Conducted With Competition Participants, Including Key Points, And Feedback. • Documentation Of One-on-one Consultation Containing Improvements And Suggestions Made For Each Team’s Pitching Materials And Presentation. • Summary Of The Training's Outcomes And Recommendations 4. Rating Of Participants’ Mock Presentation Pitches; And, 5. Certificate Of Completion To The Participants. Viii. Training Provider’s Qualifications 1. At Least 7 Years Of Experience In Organizing And Facilitating Workshops, Mentorship Sessions, And Networking Events In Both Local And International. 2. With Experience Conducting Workshops On Essential Startup Skills, Including Pitching, Business Modeling, And Strategic Growth Tailored To The Need Of Participants. 3. With Pool Of Experts Who Have Diverse Knowledge And Expertise In Guiding Researchers/startups. 4. Ability To Handle Pressure And Make Good Decisions Quickly. Ix. Project Duration And Other Arrangements The Training Will Be Conducted Via Online On 27 November 2024 And Deemed Effective Upon Signing Of The Contract. X. Schedule Of Activities Time Activity Am Session Plenary Discussion Pm Session One-on-one Consultation (45 Minutes Per Team/entry) All Output Submissions Should Be Certified As In Accordance With This Tor And Contract By The Authorized Representative/s Of The Boi Resource-based Industries Service (rbis). Any Delay In The Payment Of The Agreed Amount Within The Time Specified Due To Compliance With Budgeting, Accounting Or Auditing Rules And Regulations, Force Majeure Or Other Similar Clause Beyond The Control Of The Boi In Terms Of The Release Of The Funds Shall Not Be Taken As A Violation Of The Terms Of The Tor/contract. Xi. Project Cost Total Professional Fee For The Training Provider Shall Be Php 100,000.00 (inclusive Of Taxes). Xii. Mode Of Payment And Required Submissions From The Training Provider Particulars Tranches Upon Submission Of Program Design And Checklist Of Technical Requirements And Documents That Participants Need To Prepare 50% (php 50,000.00) Upon Submission Of The Post-training Report And Rating Of Participants’ Mock Presentation Pitches 50% (php 50,000.00) Total 100% (php 100,000.00) Xiii. Confidentiality Clause Except As Required By Law Or Pursuant To Prior Written Consent, All Parties Agree To Keep Confidential And Not To Disclose Any Information Or Document Of The Other Party, Obtained In The Course Of The Implementation Of This Agreement, Which Are Designated As Confidential. All Parties Shall Take All Reasonable Steps To Ensure That Its Personnel And Authorized Agents Will Comply With This Confidentiality Clause. This Clause Shall Survive The Termination Of This Agreement. Xiv. Termination Of The Project. The Project May Be Terminated By The Boi Under The Following Circumstances: 1. Training Provider Is Declared Bankrupt Or Insolvent With Finality By A Court Of Competent Jurisdiction. Termination Will Be Without Compensation, Provided That Such Termination Will Not Prejudice Or Affect Any Right Of Action Or Remedy Which Has Accrued Or Will Accrue To The Parties; 2. Material Breach Of Obligations Pursuant To The Contract And Which Has Not Been Remedied Within Sixty (60) Calendar Days Following Receipt Of Notice Specifying Such Breach; 3. Outside Of Force Majeure, If The Training Provider Fails To Deliver The Outputs And Deliverables Within The Period Specified In The Project; 4. As A Result Of Force Majeure, If The Training Provider Is Unable To Deliver Or Perform A Material Portion Of The Outputs And Deliverables For A Period Of Not Less Than Sixty (60) Calendar Days After The Consultants’ Receipt Of The Notice From Boi Stating That The Circumstance Of Force Majeure Is Deemed To Have Ceased; 5. If The Training Provider Falls Short Of The Standards In Terms Of Performing The Assigned Duties And Responsibilities; 6. If The Training Provider Violates Any Policy Being Implemented By The Boi; 7. Sufficient Grounds To Terminate A Contract For Convenience, Such As: A. If Physical And Economic Conditions Have Significantly Changed Rendering The Project No Longer Economically, Financially Or Technically Feasible, As Determined By The Hope; B. The Hope Has Determined Existence Of Conditions That Make Project Implementation Impractical And/or Unnecessary, Such As But Not Limited To, Fortuitous Event/s, Changes In Laws And Government Policies; C. Funding For The Project Has Been Withheld Or Reduced By Higher Authorities Through No Fault Of Boi; D. If Consultant Fails To Perform Any Other Obligation Under The Project; Or E. Any Circumstance Analogous To The Foregoing; 8. Unlawful Acts Relative To Contract Acquisition And Implementation, Before Or During Contract Implementation, Such As But Are Not Limited To: A. Corrupt, Fraudulent, Collusive And Coercive Practices; B. Drawing Up Or Using Forged Documents; C. Using Adulterated Materials, Means Or Methods, Or Engaging In Production Contrary To Rules Of Science Or The Trade; Or D. Any Other Act Analogous To The Foregoing; Or 9. Any Other Justifiable Reason. The Rescission Of The Contract Shall Be Accompanied By Confiscation By Boi Of Training Provider’s Performance Security And Will Also Be Recommended For Blacklisting. Training Provider Shall Be Paid On A Quantum Meruit Basis. The Party Terminating The Training Provider Shall Not Be Liable For Damages, Fees Or Charges Incurred By The Other Party As A Result Of Such Termination Other Than Such Applicable Fees And Charges Set Forth Above As Payment For Services Rendered Or Of Other Pecuniary Obligations Incurred, As Of The Effective Date Of Termination. The Party Terminating The Contract Shall Give At Least Fifteen (15) Days Prior Written Notice. Termination Shall Be Effective Immediately. In Case Of Violation Of Terms, The Termination Is Without Prejudice To The Liability Of The Other Party For Damages Under The Contract. Upon Expiration Of The Period Of Engagement Or Upon Receipt Of Notice Of Rescission Of The Contract, The Training Provider Shall, Without The Need Of Demand, Turn Over To Boi All Documents And Records Acquired In The Performance Of Obligations Under The Contract And/or As An Incident Thereof. Xv. Ownership Of Work. It Is Understood That All Data, Information And Communication To Be Obtained, Stored, And Utilized By The Training Provider Including All Materials, Documents, Manual And Such Other Outputs In The Course Of The Implementation Of The Contract, Shall Be Owned And Considered The Intellectual Property Of The Boi. Prior Written Consent Of Boi Shall Be Required In Case Training Provider Will Use Them For Purposes Other Than The Performance Of The Contract. A Violation Of This Section Shall Warrant The Termination Of The Contract Without Prejudice To The Filing By Boi Of Appropriate Legal Cases Against The Training Provider. Xvi. Other Provision There Shall Be No Employer-employee Relationship Between Boi And The Training Provider As A Consequence Of This Tor And Contract.
