Description Terms Of References A. This Agreement Covers Only Service And Repair. Parts And Consumables, Including Maintenance Kit/ Accessories Are Not Covered By This Agreement. B. Service (labor Only) Is Without Cost During Service Provider's Normal Working Hours And These Services May Upon Be Emergency Service Calls, Routine Preventive Maintenance Check-up And Under Normal Use. C. Service And Parts Shall Not Be Provided And The Civil Aeronautics Board (cab) Shall Pay For Any Repairs, Adjustment Made Necessary Either By Cab's Negligence Or Willful Act Or Default Of By Use Of Supplies, Parts Or Auxiliary Equipment Other Than Those Specified Or Approved By Service Provider For Use With The Unit/ System. D. Service Provider Shall Not Be Liable For Failure To Render Service Or Provide Parts In The Event Of Strikes, Flood And Other Causes Beyond The Control Or In Case Of Non-payment To Service Provider Of The Maintenance Fee Or Any Other Fees Or Charges Due And Payable Under This Agreement. Service Provider May Likewise Refuse To Render Services Under This Agreement If The Cab Has Overdue Accounts On The Purchase Of Consumables, Spare Parts, Material, Etc. E. Service Provider Will Not Be Responsible For Any Damage, Injury, Or Loss Arising Out Or In Connection With The Use Of Unit/ System. In No Circumstances Will Service Provider Be Responsible For Any Loss Of Business Or Profit Of For Any Consequential Loss, However Arising Including Delay Or Failure Of Equipment. F. The Maintenance Fee Is Payable In Advance And Non-refundable. Service And/ Or Parts/ Consumable/ Materials Shall Not Be Provided Unless The Maintenance Fee Is Paid Within Seven (7) Days From Receipt Of Maintenance Bill. G. The Cab Will Pay For The Actual Transportation, Board And Lodging, Per Diem And Other Incidental Expenses Of The Service Engineer If Place Of Installation/ Service Is Other Than Metro Manila. H. Service Provider Reserves The Right To Change The Amount Of The Maintenance Fee Upon The Renewal Of This Agreement, In Which Case, Another Agreement Shall Be Entered Into Between Service Provider And The Cab. I. This Agreement Will Become Null And Void If The Machine, Equipment, System Has Been Tampered With, Altered In Anyway, Worked On By Others Besides The Authorized Service Provider Representatives, Or Which Has Been Subject To Misuse, Negligence Or Accidents Or Which Has The Serial Number Or Nameplates Altered, Offaced Or Removed Or Its Supplies/ Consumables/parts/ Materials Other Than Specified Or Approved By Service Provider Are Used In The Machine/ Equipment/ System By The Cab Beyond That Estimated By Service Provider. J. Service Provider Reserve The Right To Transfer Or Assign Its Interest In This Agreement Under The Same Terms And Conditions Technical Specifications Project Title Annual Maintenance Of Pabx System Background: Annual Maintenance Of A Pabx System Is Essential For Ensuring Its Continued Functionality And Reliability Within An Organization. This Maintenance Involves Routine Inspections, Testing, And Servicing Of Various Components, Including The Central Switching Unit, Handsets, Cables, And Associated Hardware Or Software. Tasks May Include Fault Detection And Repair, Software Updates, Component Cleaning, And Ensuring Compliance With Security Protocols And Regulations. Regular Maintenance Minimizes The Risk Of Unexpected Downtime, Ensures Efficient Operation, And Allows For The Identification And Resolution Of Potential Issues Before They Escalate, Ultimately Saving Time And Resources For The Organization. Duration Of The Contract One (1) Year Specifications A. This Agreement Solely Pertains To Service And Repair, Excluding Coverage For Parts And Consumables Like Maintenance Kits And Accessories. B. Service, Limited To Labor, Is Provided At No Cost During Normal Working Hours And Encompasses Emergency Service Calls, Routine Preventive Maintenance Check-ups, And Situations Arising From Normal Use. C. The Agreement Specifies That Service And Parts Will Not Be Provided If Repairs Are Necessitated By The Client's Negligence Or The Use Of Unauthorized Supplies, Parts, Or Auxiliary Equipment. D. The Service Provider Disclaims Liability For Failure To Render Service Due To Uncontrollable Events, Non-payment Of Fees, Or Overdue Accounts. E. The Service Provider Is Not Responsible For Any Damage, Injury, Or Loss Associated With The Use Of The System, Including Consequential Losses Like Business Disruption Or Profit Loss. F. The Maintenance Fee, Payable In Advance And Non-refundable, Must Be Settled Within Seven Days Of Receipt Of The Maintenance Bill For Service And Parts To Be Provided. G. The Client Bears Expenses Such As Transportation, Board, Lodging, And Per Diem For Service Engineers If The Installation Or Service Location Is Outside Metro Manila. H. The Service Provider Reserves The Right To Adjust The Maintenance Fee Upon Agreement Renewal, Necessitating The Signing Of A New Agreement. I. The Agreement Becomes Void If The System Is Tampered With, Altered, Misused, Or If Unauthorized Parts Or Supplies Are Used Without The Service Provider's Approval. J. The Service Provider Retains The Right To Transfer Or Assign Its Interest In The Agreement Under The Same Terms And Conditions.
